The Macon and Northern Railway Company, incorporated in 1894, was the successor to the Covington and Macon Railroad Company. The Covington and Macon had been incorporated in 1885 to build a road from Macon and Athens Junction to Athens.

The line was constructed between 1885 and 1888, and had a main line of 102.29 miles. It was reorganized as the Macon and Northern Railroad Company May 23, 1891. This company was reorganized in 1894 as the Macon and Northern Railway Company and leased to the Richmond and Danville and Central Rail Road and Banking Company.
